Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern access to and use of the ShortletPro website, mobile applications and related services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

ShortletPro provides a technology platform that enables users to discover, list, book, manage and interact with short-let accommodation offerings and related services.

2. Parties and Platform Role

In these Terms:

• "ShortletPro", "we", "us" or "our" means Shortletpro.com Limited;
• "Guest" means a user who browses, books or stays at a listed property;
• "Host" means a property owner, manager, operator, representative or other person listing or offering accommodation through the Platform; and
• "User" means any person accessing or using the Platform.

3. Eligibility

You may use the Platform only if:

• you are legally capable of entering into a binding contract;
• the information you provide is accurate and complete;
• you will comply with these Terms and applicable laws; and
• if acting for a company or other entity, you have authority to bind that entity.

We may require age thresholds, identity verification or additional checks for certain activities.

4. Account Registration and Security

To access certain features, you may need to create an account. You are responsible for:

• maintaining the confidentiality of your login credentials;
• all activity occurring under your account;
• ensuring your account details remain current and accurate; and
• notifying us promptly of any unauthorized use or suspected security incident.

We may suspend, restrict or terminate access if we reasonably believe your account is compromised, inaccurate, unlawful or used in breach of these Terms.

5. Platform Services

ShortletPro may provide features including:

• property discovery and search;
• booking requests, confirmations and reservation management;
• messaging and communication tools;
• property listing and host management tools;
• payment facilitation, refunds and payout support;
• ratings, reviews and trust or verification features; and
• support, promotion and related platform tools.

We may add, remove or modify features at any time.

6. Guest Bookings

When a Guest submits a booking request or completes an instant booking, the Guest agrees to:

• pay all displayed fees, charges, taxes and applicable service amounts;
• provide accurate booking and occupancy information;
• comply with the listing terms, house rules, building rules and lawful instructions;
• treat the property with care and not cause nuisance, damage or unlawful activity; and
• ensure co-guests or invitees also comply with applicable rules.

A booking is confirmed only when the Platform indicates confirmation and payment requirements have been satisfied.

7. Host Listings and Responsibilities

Hosts are solely responsible for their listings and must:

• have the legal right and authority to list and offer the property;
• ensure listing descriptions, photos, amenities, rates, availability and rules are accurate and up to date;
• comply with landlord, building, zoning, hospitality, tax, licensing, consumer protection and other applicable legal requirements;
• maintain the property in a safe, clean and habitable condition;
• honor confirmed bookings except where cancellation is permitted;
• maintain required insurance where appropriate; and
• respond truthfully and promptly to guest and platform inquiries.

ShortletPro may remove, suspend or refuse listings that create legal, operational, safety, fraud or reputational risk.

8. Fees, Payments and Payouts

Guests agree to pay the full booking amount shown at checkout, including any service fees, charges, security deposits, cleaning fees, taxes or other disclosed amounts.

Hosts agree that ShortletPro may deduct applicable service fees, commissions, taxes, penalties, refunds, reversals, chargebacks or other authorized amounts before making payouts.

ShortletPro may use third-party payment providers to process charges, hold funds, issue refunds and distribute payouts. Timing of charges, settlements and payouts may depend on banking systems, payment providers, compliance reviews or fraud checks.

Where a payment fails, is reversed or is disputed, we may suspend related bookings, payouts or account access until the issue is resolved.

9. Cancellations, Refunds and No-Shows

Cancellation and refund outcomes may depend on:

• the cancellation policy attached to the listing or booking;
• applicable consumer protection law;
• extenuating circumstances;
• payment processor rules; and
• any separate refund policy published by ShortletPro.

Unless otherwise required by law or expressly stated by ShortletPro, refund eligibility is not automatic. Service fees may be non-refundable in some cases. Hosts may be responsible for honoring cancellation obligations stated in their listing settings or applicable law.

ShortletPro may intervene in disputes and determine provisional platform outcomes, but this does not eliminate any direct rights or obligations between Guests and Hosts.

10. Security Deposits, Damage and Charges

Where applicable, Guests may be responsible for property damage, excessive cleaning, unauthorized occupancy, policy violations, fines, penalties or other losses caused by them, their co-guests or invitees.

ShortletPro may assist Hosts with claims and may request evidence, statements or supporting records from either party. We may, where authorized by law, payment mandate or platform agreement, recover amounts related to verified damage, reversals, fees or losses.

11. Reviews, Ratings and User Content

Users may submit reviews, ratings, comments, photos, messages or other content ("User Content"). By submitting User Content, you:

• represent that you have the necessary rights to submit it;
• grant ShortletPro a non-exclusive, worldwide, royalty-free license to host, use, reproduce, adapt, publish and display it for platform and business purposes; and
• agree that the content must be accurate, lawful and not misleading, defamatory, infringing, abusive or deceptive.

We may moderate, remove or refuse User Content at our discretion.

12. Prohibited Conduct

Users must not:

• violate any law, regulation or third-party right;
• provide false, misleading or incomplete information;
• circumvent fees, payment systems or booking processes;
• scrape, crawl, reverse engineer or interfere with the Platform;
• upload malware, spam or harmful code;
• discriminate unlawfully;
• use the Platform for fraud, money laundering, exploitation, harassment or illegal activity;
• create fake accounts, fake bookings or manipulated reviews; or
• bypass a suspension, restriction or enforcement action.

13. Verification, Safety and Compliance

ShortletPro may conduct identity verification, fraud screening, sanctions screening, compliance reviews or other trust and safety checks. We may request additional documents or information at any time.

We reserve the right to refuse service, freeze transactions, delay payouts, remove listings or restrict access where necessary to address legal, compliance, fraud or safety concerns.

14. Intellectual Property

The Platform, including its software, content, branding, design, text, graphics, logos and functionality, is owned by or licensed to ShortletPro and protected by applicable intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, sell, lease, reverse engineer or create derivative works from the Platform or its content.

15. Third-Party Services

The Platform may integrate with or link to third-party services, including payment providers, maps, messaging tools, analytics, identity verification providers and app stores. ShortletPro is not responsible for the availability, security, accuracy or practices of third-party services.

Your use of third-party services may be subject to separate terms and privacy notices.

16. Privacy

Our collection and use of personal data is governed by the ShortletPro Privacy Policy, as updated from time to time.

17. Disclaimer of Warranties

To the maximum extent permitted by law, the Platform is provided on an "as is" and "as available" basis. ShortletPro does not guarantee that:

• the Platform will be uninterrupted, error-free or secure at all times;
• listings are accurate, complete or suitable for your needs;
• any property will meet your expectations; or
• use of the Platform will always lead to successful bookings, occupancy or revenue.

Accommodation quality, legality, safety and service delivery remain primarily the responsibility of the Host.

18. Limitation of Liability

To the maximum extent permitted by applicable law, ShortletPro and its affiliates, officers, employees, agents and partners will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, revenue, goodwill, data or business opportunity, arising out of or related to:

• your use of or inability to use the Platform;
• any booking, stay, cancellation, delay, injury, loss, theft, dispute or damage relating to a listed property;
• acts or omissions of Guests, Hosts or third parties; or
• unauthorized access, system failures or events beyond our reasonable control.

Where liability cannot lawfully be excluded, ShortletPro's aggregate liability will be limited to the greater of:

• the total service fees paid to ShortletPro by you in the 12 months preceding the claim; or
• the minimum amount required by applicable law.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

19. Indemnity

You agree to indemnify and hold harmless ShortletPro, its affiliates and their respective personnel from claims, liabilities, damages, losses and expenses arising out of or related to:

• your breach of these Terms;
• your violation of law or third-party rights;
• your listing, property, stay, conduct or User Content; or
• damage, injury, disputes or losses caused by you or persons for whom you are responsible.

20. Suspension and Termination

ShortletPro may suspend, restrict, delist or terminate your access to the Platform immediately where we reasonably believe:

• you have violated these Terms;
• you create legal, safety, fraud or reputational risk;
• your account or listing information is inaccurate or misleading;
• compliance or verification requirements are not met; or
• such action is necessary to protect users, the Platform or third parties.

Termination does not affect accrued rights, payment obligations, dispute rights or provisions that should survive by their nature.

21. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

The courts of competent jurisdiction in Nigeria will have jurisdiction over disputes arising out of or relating to these Terms, unless applicable law requires otherwise.

Before filing a formal claim, users agree to first contact ShortletPro and make a good-faith effort to resolve the issue informally.

As ShortletPro expands into additional jurisdictions, we may publish jurisdiction-specific terms, mandatory consumer notices or dispute provisions for users in those regions.

22. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we may provide notice through the website, app, email or other reasonable means. Continued use of the Platform after the effective date of updated Terms constitutes acceptance of the revised Terms, unless applicable law requires a different form of consent.

23. General

• If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.
• ShortletPro's failure to enforce any provision is not a waiver of that provision.
• You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, reorganization or sale of assets.
• These Terms, together with any policies expressly incorporated by reference, form the entire agreement between you and ShortletPro regarding the Platform.
